Independent Business and Securities Paralegal working with a consortium of professionals including Venture Capitalists, law firms, transfer agents and Brokers to provide the following services.
Entity formations;
Trademarks; perform trademark searches; docketing trademark and copyright registrations and responses;
Trademarks; perform trademark searches; docketing trademark and copyright registrations and responses;
Contract Management including drafting; independent contractor agreements; lease/purchase agreements; stock option agreements; note purchase agreements; asset purchase agreements;
Prepare PPM's (Reg A, 504, and 506) including Form D, crowd funding subscriptions;
Perform due diligence including lien searches; bankruptcy, tax and litigation searches; corporate officer backgrounds and corporate entity research; prepare business/executive summaries:
Prepare S-1; and Form 10 and periodic reports; Prepare FINRA applications and provide EDGARizing.
Provide transfer agent functions and or coordinate stock/share transactions; investor/shareholder relations
Affiliate arrangements with private lenders and venture capitalists to assist in commercial underwriting and loan applications and broker transactions.
